3. Cap on Liability
In no event shall our total liability to you for all claims arising out of or related to these Terms and Conditions exceed the total amount paid by you to Quorum Ink for services during the twelve (12) months preceding the claim.
4. Exclusion of Consequential Damages
We shall not be liable for any consequential, exemplary, or special damages, including but not limited to lost profits, lost revenue, loss of business opportunity, or reputational harm, even if we have been advised of the possibility of such damages.
5. Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, natural disasters, pandemic, government actions, labor disputes, or failures of internet service providers or hosting facilities.
6. Professional Advice Disclaimer
While we provide professional marketing consultation services, our advice is based on general marketing principles and our professional experience. Results may vary based on numerous factors beyond our control. We do not guarantee specific outcomes or results from implementing our recommendations.
Legal Information and Dispute Resolution
1. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of Brazil, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms and Conditions shall be brought exclusively in the courts of São Paulo, Brazil.
2. Dispute Resolution Procedures

- c. Arbitration or Litigation: If mediation is unsuccessful, either party may pursue arbitration or litigation in accordance with the governing law provision
3. Severability Clause
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced with a valid and enforceable provision that most closely reflects the original intent.
4. Entire Agreement
These Terms and Conditions, together with our Privacy Policy, Cookie Policy, Terms of Service, and any applicable service agreements, constitute the entire agreement between you and Quorum Ink regarding your use of our services and supersede all prior agreements and understandings.
5. Waiver
Our failure to enforce any right or provision of these Terms and Conditions will not be considered a waiver of those rights. Any waiver of any provision of these Terms and Conditions will be effective only if in writing and signed by an authorized representative of Quorum Ink.

8. Survival
The provisions of these Terms and Conditions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.
